• Interference: Interfering with or disrupting the integrity or performance of the Site or the data contained therein, including introducing viruses, malware, or other harmful code;

• Commercial Exploitation: Using our content, branding, or intellectual property for unauthorized commercial purposes.

Violation of these prohibitions may result in immediate termination of your account and access to our Services, and may subject you to civil and/or criminal liability under applicable law.

5. Ordering, Pricing, and Payment Terms

5.1 Order Placement

When you place an order through our Site, you are making an offer to purchase the selected items at the stated price. All orders are subject to acceptance by Seasons Pizza. We reserve the right to refuse or cancel any order at any time for reasons including but not limited to: product unavailability, errors in pricing or product descriptions, or suspected fraudulent activity.

You will receive an order confirmation via email or SMS upon successful placement of your order. This confirmation represents our acceptance of your order and creates a binding contract between you and Seasons Pizza for the purchase of the items specified.

5.2 Pricing

All prices displayed on the Site are in United States Dollars (USD) and are subject to applicable federal, state, and local taxes. We reserve the right to change our prices at any time without prior notice; however, any price change will not affect an order that has already been confirmed.

Delivery fees, service charges, and applicable taxes will be clearly displayed at checkout before you finalize your order. These additional charges are non-negotiable and form part of the total order amount.

5.3 Payment Methods

We accept the following payment methods for online orders:

5.4 Refunds and Cancellations

Orders may be canceled within a limited time after placement, as specified during the ordering process. Once food preparation has commenced, cancellations may not be accepted. 6. Delivery Terms

You are responsible for providing an accurate and complete delivery address. Seasons Pizza shall not be held liable for failed deliveries resulting from incorrect or incomplete address information provided by the customer. If a delivery cannot be completed due to customer unavailability or inaccessibility of the delivery location, you may be charged a failed delivery fee.

7. Intellectual Property Rights

All content, materials, and intellectual property available on or through the Site, including but not limited to text, graphics, logos, photographs, images, audio clips, video clips, data compilations, menu designs, brand names, trademarks, service marks, trade dress, software, and the overall look and feel of the Site (collectively, "Content"), are the exclusive property of Seasons Pizza or its content suppliers and are protected by applicable United States intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.) and trademark law.

9. Limitation of Liability

To the fullest extent permitted by law, our total aggregate liability to you for all claims arising out of or related to your use of the Site or Services, whether based on contract, tort, strict liability, or any other legal theory, shall not exceed the greater of:

• The amount you paid to Seasons Pizza in the six (6) months preceding the event giving rise to the claim; or
• One Hundred United States Dollars ($100.00).

These limitations reflect a fair allocation of risk between you and Seasons Pizza. You acknowledge that Seasons Pizza would not have entered into this agreement and provided the Services without these limitations. The limitations of liability set forth herein shall survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.

Nothing in these Terms shall exclude or limit our liability for:

• Death or personal injury caused by our negligence;
• Fraud or fraudulent misrepresentation;
• Any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Seasons Pizza and its officers, directors, employees, agents, affiliates, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

• Your violation of any applicable federal, state, or local law, regulation, or ordinance;

We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You shall not settle any claim covered by this indemnification provision without our prior written consent.

11. Privacy and Data Protection

Your privacy is important to us. 13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Seasons Pizza is registered and operates, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Site or Services shall be brought exclusively in the federal or state courts of competent jurisdiction located in the state where Seasons Pizza maintains its principal place of business. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any such action in such courts.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to contact Seasons Pizza at [email protected] to describe your complaint or concern and to attempt to resolve the dispute informally. We will make reasonable efforts to resolve the dispute within thirty (30) days of receiving your notice. This informal process is a prerequisite to initiating formal dispute resolution proceedings.

14.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, or your use of the Services, shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect, which are available at www.adr.org.

The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator shall have authority to award any remedy available at law or in equity, subject to the limitations set forth in these Terms.

The costs of arbitration, including arbitrator fees, shall be allocated in accordance with the AAA Consumer Arbitration Rules. Each party shall bear its own attorneys' fees and costs unless the arbitrator determines that a claim or defense was frivolous or brought in bad faith, in which case the arbitrator may award attorneys' fees to the prevailing party.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Claims that are appropriate for small claims court may also be brought in such court.

14.5 Time Limitation on Claims

You agree that any claim arising out of or related to these Terms or the Services must be filed within one (1) year after such claim arose. Claims filed after this period shall be permanently barred to the fullest extent permitted by applicable law.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or Services. You may terminate your use of the Services at any time by discontinuing your access to the Site and, if applicable, by deleting your account.

We may, at our sole discretion, suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. Grounds for such termination may include, but are not limited to:

All provisions of these Terms that by their nature should survive termination shall survive, including without limitation: ownership and intellectual property provisions, warranty disclaimers, indemnification, limitations of liability, dispute resolution provisions, and the general provisions set forth herein.

Termination of your access to the Services shall not relieve you of any obligations or liabilities that arose prior to the date of termination.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

These Terms, together with the Privacy Policy and any other legal notices or agreements published by Seasons Pizza on the Site, constitute the entire agreement between you and Seasons Pizza concerning your use of the Site and Services, and supersede all prior and contemporaneous agreements, communications, representations, and understandings, whether written or oral, between the parties relating to the subject matter hereof.

No oral or written statement, advertisement, or other representation not expressly set forth in these Terms shall have any legal effect or binding force upon the parties.

19. Force Majeure

Seasons Pizza shall not be liable for any delay or failure to perform our obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, civil unrest, labor disputes, supply chain disruptions, power outages, internet failures, or any other event that constitutes a force majeure event.

In such circumstances, we will make reasonable efforts to notify you of the situation and to resume normal operations as quickly as practicable. Force majeure events shall not excuse your obligation to pay for orders already accepted and fulfilled prior to the occurrence of such an event.
